Important: These Terms of Service (“Terms”) are a general template and should be reviewed and customized by qualified legal counsel before production use.
Acceptance of Terms
By accessing or using the Stanalyst website, web application, mobile experiences, and related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, you must not use the Services.
These Terms constitute a binding agreement between you and Stanalyst (referred to as “Stanalyst,” “Company,” “we,” “us,” or “our”).
If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you as an individual and that entity.
Modifications to Terms
We may modify or update these Terms at any time in our sole discretion. Changes are effective immediately upon posting the revised Terms on our website or within the app (the “Site”).
It is your responsibility to review the Terms periodically for updates. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.
Description of Services
Stanalyst provides a subscription-based stock and options analysis platform offering tools such as, without limitation:
Stock screeners and filters
Market data dashboards and analytics
AI-powered “analyst” agents and reports
Options income tracking and related analytics
Portfolio and watchlist tracking via third-party integrations
Similar-stock discovery and “portfolio wrapped” style summaries
(collectively, the “Services”).
All tools, analytics, AI outputs, and data are provided for informational and educational purposes only, to help users research and analyze investments. Stanalyst does not provide personalized investment advice, brokerage services, or trade execution.
We may, at any time and without notice, modify, suspend, or discontinue any part of the Services, including features, data sources, pricing, or availability.
Eligibility
To use the Services, you must:
Be at least 18 years old (or the age of majority in your jurisdiction, if higher); and
Have the legal capacity to enter into a binding contract.
By using the Services, you represent and warrant that you meet these eligibility requirements.
The Services are intended only for users in jurisdictions where they may lawfully be offered. You are solely responsible for ensuring that your use of the Services complies with all applicable local laws, rules, and regulations in your jurisdiction.
Account Registration and Security
Certain features of Stanalyst require you to register an account. When creating and maintaining an account, you agree to:
Provide Accurate Information: You will provide truthful, current, and complete information during registration and keep it updated.
Protect Your Credentials: You are responsible for maintaining the confidentiality of your login credentials (e.g., email, password, OAuth logins). You must not share your credentials with others. Notify us promptly if you suspect unauthorized access.
Account Activity: You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to safeguard your account.
Single Account / No Transfer: You will not create multiple accounts for yourself or for others without our permission, nor sell, transfer, or allow any other person to use your account.
We reserve the right, in our sole discretion, to suspend or terminate your account for any reason, including but not limited to violation of these Terms or security concerns. Termination may result in the loss of access to data or content associated with your account.
You may close your account at any time by following the instructions within the Services or by contacting us (see “Contact Us” below).
Free Trials, Fees, and Subscriptions
Stanalyst may offer free access, trials, or paid subscription plans. By subscribing to a paid plan or using a trial, you agree to the following:
Free Trials
Free trials, if offered, are typically limited to new subscribers and may be restricted to one trial per user.
We reserve the right to modify or cancel trial offers at any time.
Subscription Fees and Billing
By subscribing, you agree to pay all applicable subscription fees, taxes, and charges in accordance with the plan you select.
Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle (e.g., monthly or annually) at the then-current price, until cancelled.
By providing a payment method, you authorize us and our third-party payment processors (e.g., Stripe) to charge your payment instrument on a recurring basis.
No Refunds
All fees are non-refundable, unless expressly required by law or explicitly stated otherwise in writing by us.
We generally do not provide refunds or credits for partial use, unused time, or dissatisfaction with the Services.
Cancellation
You may cancel your subscription at any time via your account settings or by contacting us.
Cancellations take effect at the end of the current billing period; you will retain access to paid features until that time and will not be billed for subsequent periods.
Changes to Fees
We may change subscription prices at any time.
We will provide notice of price changes in advance (e.g., via the Site or email).
New prices apply to the next billing cycle; by continuing to use the Services after a price change takes effect, you accept the new price.
License Grant and Acceptable Use
License Grant
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes only.
You may use the Services solely as intended by Stanalyst and in accordance with these Terms.
Prohibited Uses
You agree not to:
Unlawful or Unauthorized Use: Use the Services for any illegal purpose or in violation of any applicable law or regulation, including but not limited to securities, financial, or data protection laws.
Resale or Commercial Exploitation: Resell, rent, lease, sublicense, or otherwise provide access to the Services or any data derived from the Services to any third party without our prior written consent.
Scraping, Data Mining, or Reverse Engineering:
Use automated means (e.g., bots, scrapers, crawlers) to access or extract data from the Services without our written permission.
Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code or underlying data models from the Services.
Interference or Disruption: Interfere with or disrupt the integrity, performance, security, or availability of the Services, including by transmitting viruses, malware, or any harmful code, or by imposing unreasonable load on our infrastructure.
Circumvention of Security: Attempt to bypass or circumvent any security or access control measures, including authentication or rate limits.
Misuse of Content and Data:
Copy, reproduce, distribute, publicly display, or create derivative works from any content or data from the Services except as expressly permitted.
Systematically download, store, or redistribute data (including market data) for the purpose of operating a competing product or service.
Violation of this Acceptable Use section may result in immediate suspension or termination of your account and may subject you to legal action.
Intellectual Property Rights
All content, software, data, and materials made available through the Services—including text, graphics, logos, icons, images, data compilations, charts, and code—are owned by Stanalyst or its licensors (including third-party data providers and API partners) and are protected by copyright, trademark, and other intellectual property laws.
Your use of the Services does not grant you ownership of any intellectual property rights in such content. You may not remove or alter any copyright, trademark, or proprietary rights notices.
“Stanalyst,” our logos, and any related product or service names are trademarks or service marks of Stanalyst or its affiliates. You may not use them without our prior written permission.
User Content and Data
Portfolios, Watchlists, and Inputs
Stanalyst may allow you to input and store your own information such as:
Portfolios and linked brokerage data
Watchlists and tickers
Notes, tags, or strategy parameters
Other user-generated content related to financial analysis
(collectively, “User Content”).
You retain ownership of your User Content. We do not claim ownership over the data you input into your account.
License to Stanalyst
By uploading or storing User Content in the Services, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, use, copy, process, and display your User Content solely as necessary to:
Operate, maintain, and improve the Services
Provide you with features such as analytics, AI reports, and “wrapped” summaries
Provide customer support and troubleshoot issues
We will handle User Content in accordance with our Privacy Policy.
Your Responsibility for User Content
You represent and warrant that:
You have all necessary rights and permissions to submit the User Content; and
Your User Content does not infringe or violate any third-party rights or applicable laws.
You are solely responsible for backing up any User Content you consider important. We are not responsible for any loss, corruption, or deletion of User Content.
Upon account deletion or termination, we will handle your User Content as described in the Privacy and Data Protection section and our Privacy Policy (e.g., deletion, anonymization, or continued use of aggregated, de-identified data).
Feedback
If you provide us with any suggestions, ideas, or feedback regarding the Services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to compensate you.
Feedback is considered non-confidential.
Privacy and Data Protection
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of information as described in the Privacy Policy.
We implement reasonable administrative, technical, and physical safeguards to protect your personal information. Access to your account data by employees or authorized contractors is limited to the extent necessary to operate, maintain, and improve the Services or respond to support requests.
Data Deletion
You may request deletion of your personal data and/or account by contacting us. We will delete or anonymize your personal data as required by applicable law, except where we must retain certain information for legal, regulatory, or security purposes (e.g., transaction records, audit logs).
Service Availability and Downtime
We strive to maintain reliable, secure, and continuous availability of the Services but do not guarantee uninterrupted or error-free operation.
The Services may be unavailable from time to time due to:
Scheduled maintenance or updates
Unplanned outages or technical failures
Issues with third-party providers (e.g., data feeds, hosting, APIs)
We are not liable for any losses, damages, missed opportunities, or other consequences resulting from Service unavailability, slow performance, or errors.
We may, at our discretion, offer credits or extensions in the event of prolonged outages, but we are not obligated to do so except as required by law.
No Financial, Investment, or Trading Advice
Stanalyst is not a registered investment advisor, broker-dealer, or fiduciary.
All information and content provided through the Services—including, without limitation:
AI-generated analyst reports
Screeners, rankings, and filters
Charts, metrics, valuations, and risk indicators
“Featured analyst” ideas or “wrapped” summaries
are for informational and educational purposes only and do not constitute:
Investment, financial, legal, tax, or accounting advice
A recommendation or solicitation to buy, sell, or hold any security, option, or other financial instrument
A guarantee of performance, returns, or outcomes
You are solely responsible for your own investment decisions. Past performance, backtests, examples, or projections are not indicative of future results.
You should carefully evaluate your financial situation, risk tolerance, and investment objectives, and consider seeking advice from a qualified financial professional before making any trading or investment decisions.
By using the Services, you agree that Stanalyst has not provided you with personalized investment advice and you release us from any claim arising from your reliance on information provided via the Services.
Market Data, Third-Party Services, and Integrations
The Services may rely on or provide access to:
Third-party market data providers (e.g., price quotes, fundamentals, options data)
Brokerage account aggregators or other integrations to retrieve portfolio data
External links to other websites, tools, or content
(collectively, “Third-Party Services”).
We do not control, endorse, or guarantee the accuracy, completeness, timeliness, or availability of any Third-Party Services or data. Third-Party Services may be subject to their own terms and policies, which you are responsible for reviewing.
Your interactions with Third-Party Services are solely between you and the applicable third party. Stanalyst is not responsible or liable for any loss, damage, or dispute arising from your use of Third-Party Services.
Risk Disclosure
Trading securities and options involves substantial risk, including the risk of loss of principal. Options trading, in particular, can be complex and may expose you to:
Significant or unlimited losses (e.g., naked short positions)
Rapid changes in market value and volatility
Liquidity risk, execution risk, and early assignment risk
You acknowledge and agree that:
Stanalyst does not assess suitability of any strategy for you.
Any examples, scenario analyses, or “analyst” suggestions are hypothetical and may not reflect actual performance.
You may lose some or all of the money you invest or risk in trading.
You should fully understand the risks of each strategy and read the relevant risk disclosure documents (e.g., Options Disclosure Document (ODD) in the U.S.) before trading.
Disclaimer of Warranties
The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, whether express, implied, or statutory.
To the fullest extent permitted by law, we expressly disclaim all warranties, including but not limited to:
Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
Warranties regarding accuracy, completeness, reliability, timeliness, or availability of data or content
Warranties that the Services will be uninterrupted, secure, or error-free
Warranties that defects or errors will be corrected
Any content, data, or materials obtained through the Services, including AI-generated outputs, are used at your own discretion and risk. You are solely responsible for any damage to your devices or loss of data resulting from such use.
If you are dissatisfied with the Services, your sole and exclusive remedy is to discontinue using them.
Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the disclaimers will apply to the maximum extent permitted by law.
Limitation of Liability
To the fullest extent permitted by law, in no event will Stanalyst or its affiliates, officers, directors, employees, agents, or licensors be liable for any:
Indirect, incidental, special, consequential, exemplary, or punitive damages; or
Loss of profits, revenue, data, goodwill, or business opportunity
arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
In addition, our total aggregate liability for all claims arising out of or related to the Services or these Terms shall not exceed the greater of:
US $100, or
The total amount of fees you paid to Stanalyst for the Services during the six (6) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability will be limited to the maximum extent permitted by law.
You acknowledge that this limitation of liability is an essential basis of the bargain between you and us.
Indemnification
You agree to defend, indemnify, and hold harmless Stanalyst and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use or misuse of the Services
Your violation of these Terms
Your violation of any applicable law or regulation
Any claim that your User Content or use of data obtained via the Services infringes or misappropriates any third-party rights
We may, at our discretion, assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense. You must not settle any claim without our prior written consent.
Your indemnification obligations survive any termination of your account or these Terms.
Termination
We may, in our sole discretion and without liability, suspend or terminate your access to the Services at any time, with or without notice, including if we believe that:
You have violated these Terms
Your use of the Services poses a security risk or potential legal liability
Provision of the Services to you is no longer commercially viable or permitted by law
Upon termination:
Your right to access and use the Services will immediately cease
We may delete or disable access to your account and User Content (subject to any legal retention obligations)
You may terminate your account at any time by following the instructions within the Services or by contacting us. Termination does not relieve you of any obligation to pay any outstanding fees or charges.
Sections of these Terms that by their nature should survive termination (including, but not limited to, No Financial Advice, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Miscellaneous) shall survive.
Governing Law
These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
If you are a consumer and mandatory law in your place of residence grants you certain non-waivable rights, nothing in this section limits those rights.
Dispute Resolution and Arbitration
Informal Resolution
Before initiating formal legal action, you agree to first contact us and attempt to resolve your dispute informally. Many issues can be resolved quickly through our support channels.
Binding Arbitration
Except as provided below, you and Stanalyst agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) (or a similar alternative dispute resolution provider agreed upon by both parties) in accordance with its applicable rules.
The arbitration will be conducted on an individual basis, not as a class action.
The arbitration will take place in Los Angeles, California, USA (or another mutually agreed location), or may be conducted via telephone or online where permitted.
Each party will bear its own costs and attorneys’ fees, unless the arbitrator awards fees under applicable law or these Terms.
Class Action and Jury Trial Waiver
You expressly waive any right to:
Participate in a class action, class arbitration, or other representative proceeding against Stanalyst; and
A trial by jury.
Claims must be brought in your individual capacity, and the arbitrator may not consolidate claims without the express consent of all parties. If this class action waiver is found unenforceable, the entire arbitration agreement (but not this sentence) will be null and void, and the dispute must be brought in a court of competent jurisdiction.
Exceptions
Notwithstanding the above:
Either party may seek relief in small claims court for eligible disputes; and
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent or address infringement or misuse of intellectual property or confidential information.
Governing Law for Arbitration
The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration provision.
Miscellaneous
Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Stanalyst.
Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and Stanalyst regarding the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
No Third-Party Beneficiaries
These Terms are for the sole benefit of you and Stanalyst. No other person or entity shall be considered a third-party beneficiary of these Terms.
Relationship of the Parties
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Stanalyst.

Section headings are for convenience only and do not affect the interpretation of these Terms.
